Register a Non-Profit Organisation (NPO)

Introduction

The Non-Profit Organisations Act No. 7 of 2019 (“the NPO Act”), stipulates that no one may operate a non-profit organisation (as defined in the Act), in Trinidad and Tobago, unless it is registered with the Registrar. This applies to non-profit organisations which are(1) an unincorporated body of persons,(2) incorporated by an Act of Parliament or(3) incorporated under the Companies Act, Ch. 81:01.

While a unincorporated body of persons and a non-profit organisation incorporated by an Act of Parliament must apply for registration, a non-profit company incorporated under the Companies Act, is not required to do so as it is deemed to be registered under the NPO Act. However, the non-profit company must submit the registration particulars set out in the NPO Act before collecting its Certificate of Non-Profit Organisation Registration.

The Registration Process

The non-profit organisation must be registered online using the Registrar General’s Department e-Filings Service. Enrol and login to the Registrar General’s Department e-Filings Service, on this website, to complete the non-profit organisation registration process as follows.

Step 1: Obtain approval for Registration/Submit Registration Particulars

Unincorporated Body of Persons and Incorporated by Act of Parliament

  • Complete and submit electronically the Application for Registration Form Uploaded to the application must be:
    • the AML/CFT/PF Risk Assessment Questionnaire (click the link to download and complete the form and attach the form once completed);
    • copies of the constituent documents; and
    • a copy of photo identification of each controller, a passport or national identification card only.
  • Pay the non-refundable prescribed fee of one-hundred TT dollars ($100.00)

A notification of the decision of the Registrar shall be sent via email.

Processing time: Within thirty (30) business days

Incorporated under the Companies Act, Ch. 81:01

  • Complete and submit electronically the Application for Registration Form Uploaded to the application must be:
    • the AML/CFT/PF Risk Assessment Questionnaire (click the link to download and complete the form and attach the form once completed);
    • a copy of the Certificate of Incorporation, constitution, if any, and by-laws if they were not already filed;
    • a copy of photo identification of each controller, a passport or national identification card only; and
    • a copy of the letter of approval of exemption from corporation tax, where applicable.

Processing time: Within three (3) business days

Step 2: Deliver the Registration Documents to the Registrar
  • Print and sign the Application for Registration form
  • Print the payment receipt (where applicable)
  • Visit a TTPost office and purchase two legal sized track packs; one self-addressed and one addressed to:
    The Registrar General's Department,
    Companies Registry,
    AGLA Tower, Government Plaza,
    Corner of London and Richmond Streets,
    Port of Spain.
  • Enclose the following in the envelope addressed to the Registrar General's Department and mail it:
    • the self-addressed track pack (envelope)
    • the original Application for Registration forms
    • the original AML/CFT/PF Risk Assessment Questionnaire
    • the copy of the constituent documents/Certificate of Incorporation/by-laws
    • the copy of the form of identification of each controller
    • the copy of the letter of approval of exemption from corporation tax, where applicable
    • the copy of the payment receipt.

The Certificate of Non-Profit Organisation Registration will be couriered in the self-addressed envelope via TTPost.
